Try disabling any antivirus and firewall software. If that doesn't work, on the ACT! CD, copy FallbackSQLPwdReset.bat from the Dependencies folder to C:\Program Files\ACT\ACT for Windows and run the file. It will open a CMD prompt box then disappear. After it has disappeared, try opening ACT! and your database again.
