trying to isolate isssues...... starting at the end,
when closing ACT this pops up

Close ACT!
MANUALLY check for windows updates including your optional items as sometimes, MS puts critical items there instead ..
Then run ACTDIAG ( Start / Run / ACTDIAG )
Select desired db from db list
click on the button on left of db name
select the Rebuild database options( 1st three rebuild options only - (not the delete accounting links option))..

windows is up to date
tried the rebuilds no change to exit message
when trying to re index from actdiag
I received the error in image
no idea what user 'sa' refers to

You should not normally need to reindex after using rebuild db options?
When you receive a act! error message, you can also reference the act support knowledgebase
this kb article should resolve your current issue?

I try to avoid using ACT! / Tools options to perform db maint, but this time it may be needed.
Also
Rite click your ACT! icon and select run as admin?
and insure UAC(User Accts Control is turned off) -access it thru your control panel.

still the same, as its happening only on exit and does not appear to be doing much else, i am just going to ignore it.
