I have ACT!2011 Pro with hotfix 2 on both my remote and parent machine but everytime i try to sync i get a failure stating that i hve different version running on remote. What am I missing. They both show the same versions.

both are Sage ACT! Pro 2011 Version 13.0.401.0, Hot Fix 2.
Error message is:
Synchronization has failed. The remote database is using a different ACT! version than the main database. Contact your administrator for assistance.

What's the schema version - on both systems?
You also might try getting SP1 and then Hotfix 2 for SP1 (two separate files) and updating BOTH systems to the latest build
