First, an ACT! sale has a license attached to it, and more can be added. A license contains a number of users. So with a 5 user license, you'll get one code that will allow the definition of 5 users in your database.
In your scenario, you each have a one user license, which is OK. However, you cannot add another user, which also prevents you from creating a remote database, which prevents you two from syncing.

You would need to add his license to your database. Then you can add him as a user and sync to him.
