It sounds like the registration files on the laptop may be damaged. Here is an article with steps to recreate them: KB Article 14245
Start at the heading "Invalid ACT! Registration Information".

Thanks for all the help everyone. As it turned out I reinstalled Windows-7, the ACT 2012 installed correctly and loaded a synched database. This solves my dbase backup issue. However the laptop won't do further sych updates. I'll submit a fresh question on this.
