ACT! 6 - custom layout gone after restore

I cannot get the cly file to work.  It seems to be a read only file for some reason.  It shows in the drop down (actually pop up) bar.
Formatted my drive & reinstalled ACT! and restored DB.  I have done  this before and not had this proiblem
