I have setup a sync to limit the remote users to only see Contacts that are in their territory, but they still see ALL of the Companies and Opportunities. How do I limit the Company/Opportunity lists to only the Companies that match the Contact territory?

You would need to mark the companies and opportunities as Limited Access.

Under tools, preferences, startup, you can define the default limited access options for each of your users, then when companies are created they are assigned the appropriate access.
this can be set for companies, groups, contacts and opportunities.
