We have just recently Upgraded act from Act 10 to Act 12 since the Upgrade we are unable to see or edit the Criteria for Dynamic Members in groups which had been migrated.
This Group Rules Still Work!
New groups created in version 12 can be edited.

Just To add
we are running Act Version 18.104.22.168 Hot Fix 1.
The database was Created with Act 2005.
We have Setup Act a Test System upgraded it from Version 10 to 12 and Applied All Hot Fixes and service Packs.
We Cannot replicate the issue.

If I read this correctly - in the first database conversion you have problems with the existing Groups and creating Criteria. In a second conversion (test environment) you can edit the pre-existing Groups.
It sounds as if the conversion had an issue. If you are still having a problem in the production database and have the backup from before the conversion, you can restore it using 'Restore As' (to a new name) and then convert the database again. Since the conversion was successful in the test environment, I would do the Restore there and convert it. Then you can use Backup/Restore to move the newly converted database to the production environment.
